Corporate Legal Assistant

Corporate Paralegal / Legal Assistant opportunity at a top international law firm’s Century City offices.  The Legal Assistant will provide legal and general support to the Los Angeles Transactional practice groups which include corporate, project finance, financial restructuring, and Alternative Investments.  The Legal Assistant must be a highly motivated individual with the ability to adapt to constantly changing and competing priorities.

Legal Assistant duties include:

  • Maintain positive and proactive contact with attorneys, clients, support staff and vendors.  Observe confidentiality of client and firm matters.  
  • Organize and assist with closings, draft and review signature pages and closing checklists and prepare closing binders both in electronic and paper format
  • Draft form documents and correspondence for deal participants
  • Load/organize closing sets and deal documents in relevant databases
  • Prepare Uniform Commercial Code (UCC) filings, order lien searches and stay abreast of regulations relating to Article 9 of the UCC
  • Assist with creation of corporations and limited liability companies, including preparation of formation documents, ordering searches and overseeing all filing requirements and maintenance obligations
  • Validate and process vendor invoices for payment in a timely manner
  • Serve as primary contact for all good standing certificate and similar requests
  • Compile data/library research, maintain/update working group lists and organize due diligence documents
  • Notarize documents, assist with notary authentication and apostilling/consularization of documents
  • Review and proofread legal documents (grammar/punctuation, definition/cross reference checks and book reads)
  • Prepare responses to audit letter  requests

Qualified Legal Assistants will have:

  • At least three years of experience with closings, UCC filings, and corporation creation in a law firm setting.
  • Paralegal Certificate or Declaration equivalent required under Business and Professions Code Section 6450
  • 3 years of corporate/transactional legal assistant experience at a law firm
  • Notary commissioned or willing to become a Notary
  • Bachelor’s degree required
  • Ability to think critically/analytically and exhibit sound judgment
  • Strong spelling and grammar skills for proofreading
  • Flexibility/availability to work overtime as needed (includes evening and weekend)
  • Ability to meet deadlines and work well under pressure
  • Proficiency in Microsoft Office (Word, Excel, PowerPoint) and Adobe Acrobat
